LiveInsightAI™

Authorized User Terms of Service

LiveWorld Inc.   Effective Date: August 24, 2026

Please read these terms of service carefully before accessing or using LiveInsightAI™. By clicking "I agree," logging in for the first time, or otherwise accessing the system, you agree to be bound by these terms. If you do not agree, do not access or use the system.

Section 15.2 of these terms contains a binding arbitration clause and class action/representative-type action waiver. This affects your legal rights, including your right to file a lawsuit in court or to participate in a class action. You may opt out of the arbitration provision within 30 days of first accepting these terms.

The system is not intended for use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject LiveWorld to any registration requirement within such jurisdiction or country, and the use of the system is unauthorized in any such jurisdiction or country. You agree not to access or use the system in any such jurisdiction or country. You agree that it is your responsibility to ensure that the use of the system is lawful in the jurisdiction or country where you are located.

1. Introduction and Acceptance

These Authorized User Terms of Service ("Terms") constitute a legally binding agreement between you ("Authorized User") and LiveWorld Inc., a corporation ("LiveWorld," "we," "us," or "our"), governing your access to and use of the LiveInsightAI™ System, including all associated content, software, services, data feeds, APIs, and documentation (collectively, the "System").

IMPORTANT: The System is designed for use by experienced professionals. The System should be used as an aid, not as a substitute for independent professional judgment. You should not rely solely on the information generated by the System when providing advice, making decisions, or taking action. It remains your responsibility to use reasonable and professional judgment when relying on the information generated by the System.

The System's AE compliance functionality is a tool to assist with pharmacovigilance workflows — not replace your organization's pharmacovigilance processes. You remain solely responsible for compliance with all applicable pharmacovigilance laws and regulations, including timely reporting obligations to regulatory authorities (e.g., reporting of any adverse events), and the policies of your organization. LiveWorld does not assume any regulatory reporting obligations on behalf of Authorized Users or the organizations you work for.

By accessing the System, you represent and warrant that: (a) you have the legal authority to enter into these Terms; (b) your use of the System will comply with all applicable laws and regulations; and (c) all information you provide is accurate and complete.

You must not upload, submit, or process through the System any content that: (a) is unlawful, harmful, threatening, abusive, harassing, defamatory, discriminatory, or illegal; (b) infringes any third-party Intellectual Property Rights; (c) contains personally identifiable health information without appropriate legal authority; (d) constitutes spam, phishing, or other malicious communications; or (e) violates any applicable law or regulation.

LiveWorld does not verify the accuracy of data you submit and is not responsible for any errors, omissions, or inaccuracies in data you submit or in analyses, content, and/or insights derived therefrom or by the system in general.

7. AI-Generated Content and Limitations

7.1 Nature of AI Output

The System uses artificial intelligence, machine learning, and human analysis to generate insights, analyses, and recommendations. You acknowledge that:

  • AI-generated content and AI generated analysis may contain errors, omissions, or inaccuracies and should not be relied upon as the sole basis for any business, clinical, regulatory, or legal decision;
  • The System's structured reasoning schema requires every AI-generated claim to carry confidence, scope, and basis metadata — but these metadata fields reflect the system's assessment, not a guarantee of 100% accuracy;
  • Strategy and recommendations are provided for business and informational purposes only;
  • You shall use your professional judgment to assess the reliability and applicability of the Output and evaluate any System insight before acting upon it, particularly in business, clinical, regulatory, or pharmacovigilance contexts;
  • Due to the nature of AI and of user content, LiveWorld makes no representation that the System's insights are current, complete, accurate, or fit for any particular purpose; and
  • You assume all risks arising from your use of, or reliance on, any System output, including any business impact, adverse outcomes, or in clinical, regulatory, commercial, or legal proceedings.

7.2 No Professional Advice

You acknowledge and agree that nothing in the System or in any Content generated through the System constitutes professional medical, legal, regulatory, or financial advice. LiveWorld is not a licensed healthcare provider, legal advisor, or regulatory consultant, and nothing in the System or these Terms shall be construed as establishing any such professional relationship. You expressly acknowledge that reliance on any System Output in lieu of such qualified professional advice is at your sole risk.

7.3 Third-Party Data Sources

The System incorporates data from third-party sources including social media networks, web sites, content aggregators, licensed data providers, and other content sources. LiveWorld does not warrant the accuracy, completeness, or timeliness of any third-party data or any Content in the System. If you link from the System through to third-party websites to view user posts separately from viewing them on the System, or to view other content on those sites, your rights to copy, download, or otherwise make use of the content on those sites are governed by the terms of use of those sites.

8. Intellectual Property

8.1 LiveWorld Ownership

LiveWorld retains all right, title, and interest in and to the System, Content and Output, including all Intellectual Property Rights. This includes but is not limited to any and all patents or patents pending and any continuations, continuations-in-part, divisionals, and foreign counterparts, copyrights, trade secrets, trademarks, technologies, processes, content, and know-how embodied in or relating to the Content, Output, System, its architecture, algorithms, and methodologies. You acknowledge and agree that no ownership interest in any of the foregoing is transferred to you by virtue of your access to or use of the System, and any rights not expressly granted herein are expressly reserved by LiveWorld.

The rights granted to you are a limited, non-exclusive, non-transferable license to access and use the System strictly in accordance with these Terms. Any use of the System beyond the scope expressly permitted in these Terms automatically terminates the license granted under this section.

8.2 User Data, Output and Content

You retain all right, title, and interest in and to User Data you have submitted into the System. You grant LiveWorld and its affiliates a limited, non-exclusive, royalty-free license to access, process, store, and use User Data solely to the extent necessary to: (a) provide, operate, and maintain the System and related services in accordance with these Terms; (b) perform technical support, troubleshooting, and maintenance activities; (c) comply with applicable legal obligations; and (d) improve, optimize, and enhance the System and LiveWorld's services, provided that any such use for improvement purposes shall be conducted on an aggregated and de-identified basis only. LiveWorld will not use User Data to train general AI models or for any purpose outside the scope of providing the System, except as required by law or as expressly agreed in writing. You acknowledge and agree that you are solely responsible for ensuring that any User Data submitted to the System by you is submitted in compliance with applicable law, including any required consents or authorizations, and that LiveWorld shall bear no liability for any User Data that is submitted by you in violation thereof.

LiveWorld hereby, and to the extent permitted by applicable law, retains ownership to any Content and Output. To the extent that, by operation of law, LiveWorld is deemed not to retain ownership of any Content or Output, you hereby irrevocably assign to LiveWorld all right, title, and interest in and to such Output, including all Intellectual Property Rights therein, free and clear of any claims or encumbrances. Such assignment is perpetual, irrevocable, worldwide, and unconditional. To the extent any such assignment cannot take effect immediately by operation of law, you agree to execute any further documents and take any further actions reasonably requested by LiveWorld to perfect and record such assignment.

LiveWorld grants you a license to use any Content and Output generated by you with the System. This is a non-exclusive license as other users and organizations may happen to generate the same or similar Outputs.

Due to the nature of our System, artificial intelligence generally, other technology generally and content generally, Outputs may not be unique and other users may receive similar output from our System. Our license above does not extend to other users' Output or any third party Output.

As between you and LiveWorld, LiveWorld retains all ownership to Content it curates into the system, all changes to and learning by AI models and by other technology in the system.

8.3 Feedback

If you submit suggestions, ideas, or feedback about the System you grant LiveWorld a perpetual, irrevocable, royalty-free license to use and incorporate such feedback into the System without any obligation to you.

8.4 Restrictions on Reverse Engineering

You may not reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the System, or the System's patented and patent pending methodologies including but not limited to novel AI architectures. Any unauthorized reproduction or implementation of these methodologies or any other proprietary aspects of the System may constitute patent infringement and/or other forms of infringement and will be subject to legal action.

9. Confidentiality

You acknowledge that the System, including its architecture, algorithms, methodologies, and any non-public information disclosed to you in connection with your use of the System, constitutes Confidential Information of LiveWorld. You agree to:

  • Use Confidential Information solely for the purpose of using the System as authorized;
  • Disclose Confidential Information only to employees or contractors with a need to know who are bound by confidentiality obligations no less protective than these Terms;
  • Protect Confidential Information with at least the same degree of care you use to protect your own confidential information, but no less than reasonable care; and
  • Promptly notify LiveWorld of any unauthorized disclosure or use of Confidential Information.

These obligations do not apply to information that: (a) is or becomes publicly available through no fault of yours; (b) was rightfully known to you prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is required to be disclosed by law or court order, provided you give LiveWorld prompt written notice and cooperate with LiveWorld's efforts to seek a protective order.

10. Privacy

LiveWorld's Privacy Policy governs the collection, use, and processing of Authorized Users' personal data in connection with the System and is incorporated into these Terms by reference. By using the System, you consent to the data practices described in the Privacy Policy.

The System ingests LiveWorld content, third-party, and publicly available content from social media platforms and other third-party sources for the purpose of generating intelligence insights. This content may include, but is not limited to those examples:

  1. Posts, comments, and discussions from social media platforms, forums, and community sites;
  2. Content published on brand pages and healthcare professional communities; and
  3. Publicly available or licensed clinical, regulatory, competitive intelligence, and other data.

LiveWorld does not intentionally collect personally identifiable information from social media content. To the extent such content incidentally contains personal information, it is processed solely for the purpose of generating aggregate intelligence insights and is not used to profile, target, or contact any individual.

LiveWorld de-identifies author names of social media posts that are ingested into the system, prior to such posts becoming visible to end users, using our system.

Conversational queries submitted to the System's AI features are processed by LLM models. We do not allow these LLM models to train on any data or activity in our System. The System is hosted on cloud infrastructure systems located in the US.

You acknowledge that the System processes social media content, other publicly available data, licensed data, proprietary data and other data for the purpose of generating intelligence insights. You are responsible for ensuring that your use of such insights complies with applicable privacy laws, System terms of service, and any applicable data protection regulations including the GDPR, CCPA, HIPAA and other applicable privacy frameworks.

11. Disclaimer of Warranties

The system is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by applicable law, LiveWorld expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

LiveWorld does not warrant that: (a) the System will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the System or its servers are free of viruses or other harmful components; or (d) Content, Output, or other results obtained from use of the System will be accurate or reliable.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the extent permitted by applicable law.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will LiveWorld, its officers, directors, employees, agents, licensors, or suppliers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including damages for loss of profits, revenue, goodwill, data, business, or anticipated savings, arising out of or in connection with these terms or the system, even if LiveWorld has been advised of the possibility of such damages.

LiveWorld's total cumulative liability collectively to you and any other person or entity, for all claims arising out of or relating to these Terms or the System will not collectively exceed one hundred US dollars ($100).

The limitations in this section apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and will survive and apply even if any limited remedy fails of its essential purpose.

13. Indemnification

You agree to defend, indemnify, and hold harmless LiveWorld and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the System; (c) any User Data, including but not limited to any personally identifiable information, submitted by you; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party right.

14. Term and Termination

14.1 Term

These Terms are effective from the date you first access the System and continue until terminated in accordance with this section or until your free trial period expires or is otherwise ended by LiveWorld.

14.2 Termination by LiveWorld

LiveWorld may suspend or terminate your access to the System at any time, with or without cause, and with or without notice, in its sole and absolute discretion. Without limiting the foregoing, LiveWorld may suspend or terminate your access if: (a) you breach any provision of these Terms; (b) LiveWorld determines, in its sole judgment, that continued access poses a security, legal, or reputational risk; or (c) required by applicable law. The foregoing examples are illustrative only and shall not be construed to limit LiveWorld's right to terminate for any other reason or for no reason at all.

14.3 Effect of Termination

Upon termination: (a) your license to access the System immediately ceases; (b) you must destroy all Confidential Information in your possession; (c) Content you have previously downloaded may be retained subject to Section 4; and (d) all provisions of these Terms that by their nature should survive termination will survive, including Sections 8, 9, 11, 12, 13, and 15.

15. General Provisions

15.1 Governing Law

These Terms, and all claims or causes of action (whether sounding in contract, tort, any statutory cause of action, or any other legal theory) that may be based upon, arise out of or relate to these Terms, the use of the System, the rights and responsibilities of the parties, and all other disputes between the parties, shall be governed by, and enforced in accordance with, the laws of the State of California, USA, without regard to conflict of law principles. Except as otherwise expressly set out in Section 15.2, the parties agree to the personal jurisdiction of the state and federal courts located in San Jose, California, and you and LiveWorld each waive all objections to venue in such courts.

15.2 Dispute Resolution & Class Action Waiver

READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES INDIVIDUAL ARBITRATION FOR MOST DISPUTES RATHER THAN COURT LITIGATION OR CLASS ACTIONS.

Class Action Waiver. To the fullest extent permitted by applicable law, neither you nor LiveWorld may participate in any class action, collective action, consolidated action, or representative proceeding. You and LiveWorld each waive the right to a jury trial and the right to have any dispute heard in a court of law, except as expressly provided below.

Agreement to Arbitrate. You and LiveWorld agree that any Dispute (as defined below) will be resolved exclusively through final and binding individual arbitration administered by JAMS in accordance with the applicable JAMS Streamlined or Comprehensive Arbitration Rules and Procedures, as modified by these Terms. For purposes of this Section, a "Dispute" means any claim, controversy, or dispute between you and LiveWorld arising out of or relating to these Terms, the System, or the relationship between you and LiveWorld, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory. The parties acknowledge and agree that this arbitration agreement is separate and independent from the remainder of these Terms and shall be governed by the Federal Arbitration Act to the fullest extent permitted by law. The validity, enforceability, and interpretation of this Arbitration Agreement shall be determined independently of any challenge to the validity or enforceability of any other provision of these Terms. If any court or arbitrator of competent jurisdiction finds any provision of this arbitration agreement to be invalid or unenforceable, such provision shall be severed and the remaining provisions of this arbitration agreement shall continue in full force and effect.

Pre-Arbitration Notice. Before initiating arbitration, the party seeking to bring a claim must first provide written notice to the other party describing the nature of the Dispute and the specific relief sought. The parties agree to attempt to resolve the Dispute informally for a period of thirty (30) days following receipt of such notice (the "Initial Resolution Period"). If the Dispute is not resolved during the Initial Resolution Period, either party may commence arbitration.

Notice to LiveWorld. Written notice to LiveWorld must be sent by certified mail to: LiveWorld, Attn: Legal Department, 2105 South Bascom Avenue, Suite 159, Campbell, CA, 95008.

Arbitration Proceedings. Unless the arbitrator determines that an in-person hearing is necessary, arbitration proceedings may be conducted by videoconference, telephonically, or based solely on written submissions, as permitted by applicable JAMS rules. The arbitrator shall have the authority to award any relief available under applicable law or in equity, but only on an individual basis and only to the extent necessary to resolve the individual Dispute. The arbitrator's decision shall be final and binding, subject only to limited judicial review as permitted by law.

Exceptions. Nothing in this Section prevents either party from: (i) bringing an individual claim in small claims court, if the claim qualifies; or (ii) seeking injunctive, equitable, or other provisional relief in a court of competent jurisdiction for claims involving actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

Mass Arbitration. If twenty-five (25) or more similar arbitration demands are asserted against LiveWorld or by LiveWorld against similarly situated parties and are represented by the same or coordinated counsel, the JAMS Mass Arbitration Procedures and Guidelines shall apply, to the extent permitted by law.

30-Day Opt-Out Right. You may opt out of this agreement to arbitrate by sending written notice to LiveWorld via certified mail within thirty (30) days of your first acceptance of these Terms. Your opt-out notice must include your full name, mailing address, account information associated with your use of the System, and a clear statement that you wish to opt out of this arbitration agreement. Opting out of this arbitration provision will not affect any other provisions of these Terms.

15.3 Attorney's Fees

In any action to enforce this Agreement, the prevailing party shall be entitled to recover all collection fees, court costs and expenses and reasonable attorneys' fees, in addition to any other relief to which it may be entitled.

15.4 Changes to Terms

LiveWorld reserves the right to modify these Terms at any time. When we make material changes, we will notify you through the System or by email. Your continued use of the System after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the System.

15.5 Entire Agreement

These Terms and LiveWorld's Privacy Policy, constitute the entire agreement between you and LiveWorld regarding the System and supersede all prior agreements, representations, and understandings. In the event of any conflict, the order of precedence is: (1) these Terms; (2) the Privacy Policy.

15.6 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.

15.7 Waiver

No waiver of any term of these Terms will be deemed a further or continuing waiver of such term or any other term. LiveWorld's failure to assert any right or provision under these Terms will not constitute a waiver of that right or provision.

15.8 Assignment

You may not assign or transfer any rights or obligations under these Terms without LiveWorld's prior written consent. LiveWorld may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets without your consent.

15.9 Force Majeure

LiveWorld will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, governmental action, or failure of third-party services.
